OF THE CENTRAL AND EXECUTIVE COMMITTEE OF THE REPUBLICAN PARTY OF CHAMPAIGN COUNTY, OHIO Adopted and Enacted January 13, 1996 Amended September 29, 1997 Amended March 29, 2004 ARTICLE I Section A Purpose Par. 1 The purpose of the Central and Executive Committees of the Republican Party of Champaign County shall be to assist in securing the most capable administration of government in accordance with the principles of the Republican Party. Section B Pledge Par. 1 The members of the Central and Executive Committees pledge to support and vote for all candidates endorsed by the Republican Party and to assist in achieving the purposes of the Party described in Section A above. ARTICLE II Section A Names and Duties Par. 1 The names of the committees shall be the Champaign County Republican Central and Executive Committees, which are hereinafter described and their duties defined. ARTICLE III Section A Central Committee Par. 1 The Central Committee shall consist of one member from each election precinct in Champaign County. Each member of the Central Committee shall be a member of the Republican Party and elected by direct vote of the members of the Republican Party of said member’s precinct. Said member is elected to represent his or her precinct at the Republican Primary Election held in each presidential election year in accordance with the statutes of the State of Ohio and shall serve until the next organizational meeting as prescribed by law. Par. 2 Pursuant to and in accordance with the provisions of Ohio Revised Code 3513.051 (A), each person desiring to become a candidate for election as a member of the Champaign County Republican Central Committee shall file a Declaration of Candidacy as required by 3513.05 of the Revised Code but is not required to file a Petition as required by that section. Par. 3 Pursuant to and in accordance with the provisions of Ohio Revised Code 3517.03, the term of office for members of the Champaign County Republican Central Committee shall be four (4) years. Par. 4 It shall be the duty of the Central Committee to manage the affairs, direct the general policy of the Party organization, participate as members of the Executive Committee and such other duties as prescribed by law. Section B Officers Par. 1 At the first meeting of the Central Committee following the election of its members, in accordance with the requirement of the laws of Ohio, it shall elect its officers by a majority vote of all members present. The officers shall serve until the next organizational meeting as prescribed by law. Unless otherwise provided by law, the Central Committee shall be the judge of the qualifications and the election of its members, and all contests of the election of members of the Central Committee shall be brought, filed and determined in accordance with the laws of Ohio and the rules of the Central Committee, not inconsistent therewith. Par. 2 The Chairperson of the out-going Central Committee shall preside at such first meeting until a Chairperson shall have been elected. Par. 3 The officers shall be a Chairperson, and a Vice-Chairperson, who shall be members of the Central Committee; and a Secretary and a Treasurer, who shall be members of the Central or Executive Committee as elected by the Central Committee. Additionally, there shall be such other officers as the Central Committee may desire, which may or may not be elected from the body of the Committee. All officers shall have voting privileges. Section C Duties of Officers Par. 1 The Chairperson of the Central Committee shall preside at all meetings, shall call such meetings as are prescribed by statute and these Rules, and shall perform all other duties prescribed by statute or usually exercised by a Chairperson, and not inconsistent with these rules. Par. 2 The Vice-Chairperson of the Central Committee shall perform the duties of the Chairperson in his/her absence or inability to act. Par. 3 The Secretary of the Central Committee shall keep the minutes of all Central Committee meetings, copies of which shall be sent to all Central Committee members with the notice of the next Central Committee meeting. Par. 4 The Treasurer shall receive all funds belonging to the Committee, keep proper books of accounts of all moneys received and paid out, and shall pay out moneys only by check. The Treasurer shall also be responsible for preparing and filing of all financial statements and reports required by the Board of Elections or Secretary of State, pursuant to statute. Par. 5 In the event of vacancy in any office, said vacancy shall be filled at the next Central Committee meeting by a majority vote of all the members present. Section D Meetings Par. 1 Members of the Central Committee duly elected at the Primary in the presidential year, shall meet for the purpose of organizing, between the sixth and fifteenth day after the certification of the Election Board, or as prescribed by statute. Par. 2 Notices of all meetings shall be mailed at least seven days prior to the meeting, except for those meetings in which time limits are prescribed by law, in which case, the time of mailing notices shall comply with the requirements of law. An agenda shall be included in the meeting notice; however, any other business not included on the agenda can also be transacted. Par. 3 Meetings may be called at any time by the Chairman, or by a request in writing, signed by at least five members of the Central Committee, addressed to the Chairman, or in his/her absence to the Secretary, which request or call shall state the specific purpose of the meeting. At least seven days prior to the meeting notices shall be mailed to all members stating the time, place and purpose of the meetings. No other business may be conducted except as stated in the request. Par. 4 A quorum shall consist of the Central Committee members present at any meeting, and a majority of those present can perform any proper actions of the Central Committee. Par. 5 Robert’s Rules of Order shall govern all proceedings of the Central Committee not specifically covered by these bylaws. ARTICLE IV Section A Precinct Committeemen Vacancies Par. 1 Any vacancies in the office of precinct committeeman for the County shall be filled by appointment by a majority vote of those Central Committee members present at a duly called meeting for the unexpired term of such vacant office. Par. 2 Persons appointed to vacancies in the office of precinct committeeman pursuant to this Article, shall be deemed as voting members of the Central Committee for all purposes, and shall perform all other duties of the office for the unexpired term. Section B Elective/Appointed Office Vacancies Par. 1 If a person nominated in a Republican primary as a candidate for election at the next General Election, whose candidacy is to be submitted to the electors of Champaign County, withdraws as such candidate prior to the eightieth (80th) day before the day of the General Election, the vacancy in the party nomination so created shall be filled by the Central Committee, at a meeting called for such purpose by the County Chairperson, who shall give each member of the Central Committee at least seven days notice of the time, place and purpose of the meeting, by mail. A majority of those committeemen present may select a person to fill the vacancy. Par. 2 If a Republican incumbent elective office holder dies or resigns subsequently to the one-hundredth (100th) day before the day of a primary election and prior to the fortieth (40th) day before the day of the next General Election, and if, under state law, a person may be elected at such General Election to fill the unexpired term of the person who has died or resigned or if any other vacancy occurs in elective office which is within the province of the Central Committee by law to fill, such vacancy shall be so filled by the Central Committee under the same procedure as outlined in Paragraph One of this section. ( ORC section 3513.31 & ORC section 305.02 ) Par. 3 Anytime the Ohio Revised Code requires the filling of an elected or appointed position by either the Central or Executive Committees, the following selection procedures shall be utilized: First ballot: All candidates will be voted on by the appropriate committee and the top 3 vote receivers will advance to the next round of votes. If there is a tie for the 3rd place, all candidates tied for 3rd will advance. If there is a majority winner in the first ballot, that person will be the selected candidate for the position. Second ballot: The remaining candidates will be voted on and reduced to 2 candidates. If there is a tie for 2nd place, all candidates tied for 2nd place will advance. If there is a majority winner in the second ballot, that person will be the selected candidates for the position. This process will continue until there are only 2 candidates or a majority winner. Final Round ballot: Unless there has been a majority winner in a previous ballot the remaining candidates will be voted on and a majority vote will select a winner. ARTICLE V Section A Board of Elections Recommendation Par.1 At a meeting held not more than sixty (60) days nor less than fifteen (15) days before the expiration date of the term of office of a Republican member of the Champaign County Board of Elections, or within fifteen (15) days after a vacancy occurs in the Board by a Republican, the Executive Committee shall, by a majority vote of its members present at a duly called meeting, taken in secret ballot, elect a qualified person for recommendation to the Secretary of State for appointment to the office of Board of Elections member. Par. 2 Notice of any meeting held pursuant to this Article, giving the place and time, shall be sent to each member of the Executive Committee by the Secretary at least (7) days prior to such meeting. Par. 3 Nominations may be accepted by the presiding officer and such nominees may or may not be members of the Central Committee or Executive Committee. Par. 4 Upon the election of a nominee for appointment to the Board of Elections, the Secretary shall forthwith file the recommendation of such nominee with the Secretary of State, pursuant to statute. ARTICLE VI Section A General Rules Par. 1 No officer or member of the Central Committee shall have any implied power to bind the Central Committee to any contract or obligation, unless expressly granted by these rules, or by resolution properly adopted by the Central Committee and properly recorded by the Secretary in the minutes of the Central Committee meeting. ARTICLE VII Section A Executive Committee Par. 1 The Executive Committee shall organize at the same time as the Central Committee, and shall consist of all members of the Central Committee and other members as appointed by the Central Committee. Two or more Executive Committee members should be added to each precinct. Par. 2 The Executive Committee shall be bound by the same rules as the Central Committee or as prescribed by statute. Par. 3 The Executive Committee members shall serve until the date of the organizational meeting of the Central Committee prescribed in Article III, Section D, Paragraph 1. Par. 4 The Executive Committee shall only have such authority as hereinafter stated, or as granted by the Central Committee at a duly called meeting, and recorded in its minutes, or as shall be required by statute. Par. 5 It shall be the duty of the Executive Committee to manage the affairs and direct the general policy of the Party organization, to direct and conduct campaign activities, to promote the best interest of the Party, solicit and collect monies for the purpose of promoting the goals of the Party, and to perform all duties which may be required by law or custom. These duties shall be administered by the Executive Committee Chairperson. Par. 6 The Executive Committee may select an appropriate staff to perform such duties as may be assigned to it and authorize compensation for such staff. Section B Officers Par. 1 At the first meeting of the Executive Committee following the appointment of its members, in accordance with the requirements of the law of Ohio, it shall elect its officers by a majority vote of all the members present. The officers shall serve until the next organizational meeting as prescribed by law. Par. 2 The Chairperson of the out-going Executive Committee shall preside at such first meeting until a Chairperson shall have been elected. Par. 3 The officers shall be a Chairperson, a Vice-Chairperson, and a Secretary, who shall be members of the Executive Committee. All officers shall have voting privileges. Par. 3 The Secretary of the Executive Committee shall keep the minutes of all Executive Committee meetings, copies of which shall be sent to all Executive Committee members with the notice of the next Executive Committee meeting.
Par. 4 Any vacancy in any office shall be filled at the next Executive Section D Subcommittees Par. 1 The Standing Subcommittees of the Executive Committee shall be the Finance Committee and the Steering Committee. Other Subcommittees may be appointed from time to time as the Executive Committee may chose. Par. 2 The Finance Committee shall be appointed by the Executive Committee Chairperson and shall include the Chairpersons of the Executive and Central Committees, and other members as appointed. The Finance Committee shall authorize expenditures and arrange for the collection of funds. Par. 3 The Steering Committee shall be chaired by the Executive Committee Chairperson and shall include the officers of the Executive and Central Committees, the Finance Committee Chairperson, the current president of the Republican Club, the Republican County Chairwoman, and other members as appointed by the Executive Chairperson. The Steering Committee membership shall not exceed eleven members. Par. 4 In addition to the standing subcommittees, the Chairperson may appoint such temporary subcommittees, as he/she may deem necessary to further the goals of the Party. ARTICLE VIII Section A Amendments Par. 1 These bylaws may be amended at any meeting, by the majority vote of those committeepersons present, but the content of the proposed amendment shall be included with the notice of the meeting. Such requested amendment shall be signed by at least five members of the Executive Committee and addressed to the Chairperson and the Secretary of the Executive Committee. Any amendment adopted under this section shall become effective immediately. Amendments must have at least 25% of the members of that committee present.Amendments to the bylaws in bold print, hereby, approved and voted on March 29, 2004.
